As previously announced, the Programme will operate within the following parameters: • maximum aggregate consideration of £300,000; • maximum purchases of 350,000,000 Ordinary Shares, representing approximately 10.9% of the Company's current issued share capital; and • a duration of six months from commencement, unless completed, suspended or terminated earlier. The £300,000 maximum aggregate consideration and 350,000,000 Ordinary Share limit are maximum parameters and do not constitute a commitment by the Company to purchase any particular number of Ordinary Shares or deploy the full amount available under the Programme. All Ordinary Shares acquired under the Programme will initially be held in treasury and not cancelled. The Programme will commence today, 26 October 2026 and will end no later than 25 April 2027. The Company has given non-discretionary instruction to SI Capital Ltd (the "Broker") to conduct the Programme on its behalf. The Broker will manage the purchases on a non-discretionary basis, purchasing Ordinary Shares within the parameters detailed in this announcement and making its trading decisions independently of, and uninfluenced by, the Company. Purchases will be disclosed in accordance with Article 5 of UK MAR. Any purchases of Ordinary Shares pursuant to the Programme will be effected within the above-mentioned pre-set parameters, including the maximum price payable for an Ordinary Share being an amount equal to the higher of the last independent trade and highest current independent purchase bid. These arrangements are in accordance with provisions of Article 5(1) of Regulation (EU) No. 596/2014 (as incorporated into UK domestic law by the European Union (Withdrawal) Act 2018) (as amended) ("UK MAR") and the Commission Delegated Regulation (EU) 2016/1052 (as incorporated into UK domestic law by the European Union (Withdrawal) Act 2018) (as amended) (the "UK RTS") dealing with buyback programmes. The Company will make further announcements regarding purchases under the Programme as required by applicable law and regulation. The Company will make further regulatory announcements in respect of repurchases of Shares as required by UK MAR and the FCA’s UK Listing Rules and Disclosure Guidance and Transparency Rules.
